BVI Annual Financial Return Due 30 September 2026: Do You Have the Records Needed to File?

Many Cayman Foundation Companies, investment structures, and Web3 projects utilize a BVI company as part of their operating structure. For companies with a 31 December 2025 financial year-end, the Annual Financial Return (FAR) is generally due to the registered agent by 30 September 2026, being nine months after the end of the financial year.

The FAR requirement was introduced under amendments to the BVI Business Companies Act and requires most BVI companies to submit a summary of their financial position and financial performance to their registered agent. The filing is not publicly available and generally does not require an audit.

While much has been written about the filing requirement itself, the reality is that most companies do not struggle with the form. They struggle with having the underlying accounting records ready to support the information being reported.

What is the BVI Annual Financial Return?

The Financial Annual Return (FAR) is a simplified financial reporting requirement submitted to a company’s registered agent. The information reported is based on the company’s underlying accounting records and is intended to provide a summary of the company’s financial position and activity for the reporting period.

While the filing itself is relatively straightforward, companies should ensure that the information being reported is accurate, supportable, and consistent with their accounting records.

Does This Apply to Every BVI Company?

The FAR filing requirement applies to most BVI companies. Certain exemptions may be available, including:

    • Companies regulated under BVI financial services legislation that submit financial statements to the BVI Financial Services Commission
    • Companies that file annual tax returns with the BVI Inland Revenue Department together with financial statements
    • Companies that entered liquidation before the filing obligation arose

Companies should consult their registered agent or professional advisers before relying on an exemption.

Having these records available can significantly reduce the time required to prepare the FAR and respond to requests from registered agents or other service providers.

Why Start Before September?

Companies that maintain bookkeeping throughout the year may only require limited effort to prepare the Annual Financial Return.

However, where accounting records need to be reconstructed, digital assets reconciled, or multiple entities reviewed, the process can take considerably longer.

As the filing deadline approaches, demand for accountants, bookkeepers, and professional service providers also tends to increase. Taking action early can help avoid unnecessary pressure as the deadline draws closer.
